This highly respected and welcoming community sector organisation has been operating since 1954, providing a diverse range of services and support for adults with an intellectual disability and their families in the Eastern Metropolitan region of Melbourne.

Reporting to the CEO, in this inaugural role, you will establish and oversee the organisation's corporate governance oversight, ensuring rigorous compliance with statutory obligations and legal requirements. The position is being implemented at a time the Incorporated Association is migrating to become a Company Limited by Guarantee.
​
The Company Secretary provides expert advice to the Board, Chair and CEO on corporate governance matters, contributes to the development of corporate risk management strategies, manages legal engagement, fosters positive relationships with key stakeholders, and manages high-quality documentation supporting governance, including meeting minutes, agendas, and other essential records.
​
This is a pivotal role in maintaining the organisation's legal obligations and ethical integrity while facilitating effective governance and transparent communication.

Ideal candidate will possess:

Relevant qualification, in either business, law, corporate governance or a related field

Experience as Company Secretary in a comparative NFP and preferably a Company Limited by Guarantee
-
Proven ability to identify and apply relevant legal and regulatory frameworks in for-purpose governance and compliance
-
Demonstrated experience in managing compliance, statutory obligations, and governance matters in previous roles, with a focus on achieving high standards

Legal acumen, proficiency in interpreting and applying relevant laws and regulations to ensure compliance
-
Experience in providing effective support to Boards and Committees, including preparing meeting agendas, minutes, and governance reports

Understanding of NDIS (preferred)
The successful applicant must:

Be available to attend governance (Board and Committee) meetings outside of usual business hours

Be flexible in terms of varying days and spread of hours

Hold a valid NDIS Worker Screening Check and Working With Children Check

Provide an International Police check if necessary
-
Provide evidence of professional qualifications and current registrations

Evidence of Australian Working Rights
-
Required Covid-19 vaccinations

In this pivotal role reporting to the National Managing Partner and liaising closely with the Board and Lead Partners, you will act as a conduit between the Partners and functional teams ensuring that effective business systems and operations are managed, supporting growth of the practice.
​
You will be involved in driving a number of key initiatives including establishing a succession strategy beyond the current shareholder group, securing sources of capital to support business growth, potential M&A, improve operational efficiencies, and business planning to support sector diversification.
​
Key Responsibilities

Lead the GP Support team including Finance, Operations, People + Culture, Design Technology, Marketing + Communications and Studio Coordinators

Managing the delivery of monthly Practice Reporting across the firm
-
Effective management of all major supplier contracts
-
Reviewing, compiling and developing business reporting and analytics for presentation to Board & Partners
-
Business management and financial performance in accordance with agreed budgets and strategies
-
Ensuring adequate insurance coverage, risk management and contract review processes are maintained
-
Assisting with legal issues in coordination with the relevant corporate services areas
-
Supporting high level real estate matters including negotiating leases and new premises
-
Overseeing the external IT contract management
-
Ensuring all BCP/Disaster Recovery, Security and related IT risk management is managed to ensure minimal business effects in the event of an occurrence
What you’ll need to be successful

An understanding of Architectural or related project based Professional Services firm
-
Proven manager with experience leading teams and projects
-
Strategic thinker with strong business and commercial acumen
-
Strong understanding of financial management, analytics and reporting
-
Qualification in Business Management, Finance or a related discipline
-
An empowering, approachable and supportive leadership style
-
Excellent oral and written communication – both ways – to Board and GP Support team

Strong integrity and reflect the practice’s values and approach
